Terms of Service

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE TRUEPROCESSLAB PLATFORM. BY CREATING AN ACCOUNT OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS.

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of TrueProcessLab (the "Service"), operated by ArcLight Strategies, LLC ("ArcLight," "we," "us," or "our"), a limited liability company based in Arizona, United States.

By accessing or using the Service, you confirm that you are at least 18 years old, have the authority to enter into these Terms on behalf of yourself or the organization you represent, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of a company or other legal entity, "you" refers to that entity and you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

TrueProcessLab is a Software-as-a-Service (SaaS) platform that enables businesses to document, store, and manage their operational processes through a combination of human-assisted process mapping and a cloud-based process repository (the "Process Vault").

The Service includes:

A client portal for submitting process map requests and managing documented processes
Human-assisted process mapping by contracted TrueProcessLab mappers
Threaded messaging between clients and mappers
File storage and delivery of completed process maps
Optional virtual session add-ons for live mapping assistance
Administrative tools for team management and billing

3. Accounts and Access

3.1 Account Registration.

To use the Service, you must create an account using a valid business email address. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3.2 Workspace Accounts.

Each company is assigned a workspace identified by its email domain. Users who sign up with the same email domain may be associated with the same company workspace at our discretion.

3.3 User Roles.

The Service supports multiple access roles including Team Member, View-Only, Company Admin, and Platform Employee. Role permissions are described in the platform documentation. You are responsible for managing roles and access for members of your workspace.

3.4 Account Security.

You must notify us immediately at support@trueprocesslab.com if you become aware of any unauthorized use of your account. We are not liable for any loss resulting from unauthorized use of your account credentials.

4. Subscription Plans and Payment

4.1 Plan Tiers.

The Service is offered on a subscription basis across multiple plan tiers (Essentials, Growth, and Scale). Plan details, including active map limits, included features, and pricing, are described on our Pricing page.

4.2 Billing Cycle.

Subscriptions are billed in advance on a monthly or annual basis depending on your selected billing term. Annual subscriptions are paid in full at the start of each billing year.

4.3 Payment Processing.

All payments are processed by Stripe, Inc. on our behalf. By providing payment information, you authorize ArcLight to charge your payment method for the subscription fees and any applicable add-ons. Your payment information is subject to Stripe's privacy policy and is not stored on our servers.

4.4 Annual Discount.

Annual subscriptions are offered at a 20% discount compared to the equivalent monthly rate, billed as a single annual payment.

4.5 Virtual Session Add-Ons.

Virtual sessions may be purchased à la carte or deducted from plan session hour allocations where included. Bundled session hours are allocated monthly and do not roll over to the following month. À la carte sessions are charged at the time of booking.

4.6 Price Changes.

We reserve the right to modify subscription pricing with at least 30 days' prior notice delivered to the email address associated with your account. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.

4.7 Taxes.

All fees are exclusive of applicable taxes. You are responsible for any sales tax, VAT, or other applicable taxes assessed on your subscription.

5. Cancellation and Refunds

5.1 Cancellation.

You may cancel your subscription at any time by contacting us at support@trueprocesslab.com. Cancellation takes effect at the end of your current billing period. You retain access to the Service through the end of your paid period.

5.2 Refunds.

Subscription fees are non-refundable except where required by applicable law. If you cancel a monthly subscription mid-cycle, you will not receive a refund for the remaining days in that period. Annual subscriptions are non-refundable after the first 14 days from the annual billing date.

5.3 14-Day Refund Window.

If you are dissatisfied with the Service within the first 14 days of your initial subscription, contact us at support@trueprocesslab.com and we will issue a full refund at our discretion.

5.4 Effect of Cancellation.

Upon cancellation, your account will remain accessible in read-only mode for 30 days, after which your data may be permanently deleted. We recommend exporting any process maps you wish to retain before your access ends.

6. Acceptable Use

You agree not to use the Service to:

Violate any applicable local, state, national, or international law or regulation
Upload, transmit, or share content that infringes on any third party's intellectual property rights
Upload malicious code, viruses, or any software that could damage or interfere with the Service
Attempt to gain unauthorized access to the Service, other accounts, or our systems
Reverse engineer, decompile, or attempt to extract the source code of the Service
Use the Service to build a competing product or service
Resell or sublicense access to the Service without our written permission
Submit false, misleading, or fraudulent information

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

7. Video Recordings and Content

7.1 Video Links.

The Service allows you to submit links to video recordings hosted on third-party platforms (Loom, Zoom, Google Meet, Microsoft Teams). TrueProcessLab does not store, host, or take ownership of your video recordings. Videos remain on your chosen platform and are subject to that platform's terms of service.

7.2 Access Revocation.

You retain full control over your video recordings and may revoke access at any time by updating permissions on your recording platform. TrueProcessLab is not responsible for recordings that become inaccessible after submission.

7.3 Your Content.

You retain ownership of all process descriptions, notes, and materials you submit to the Service ("Your Content"). By submitting content, you grant ArcLight a limited, non-exclusive license to use Your Content solely for the purpose of providing the Service to you, including creating process maps based on your submissions.

7.4 Process Maps.

Completed process maps created by TrueProcessLab mappers based on your submissions are delivered to you as work product. Upon full payment of applicable fees, you own the completed process map deliverables.

8. Intellectual Property

8.1 Platform Ownership.

The Service, including its software, design, features, and all content created by ArcLight (excluding Your Content and your process map deliverables), is owned by ArcLight Strategies, LLC and is protected by copyright, trademark, and other intellectual property laws.

8.2 Feedback.

If you provide feedback or suggestions about the Service, you grant us the right to use that feedback without restriction or compensation to you.

8.3 Trademarks.

"TrueProcessLab," the TrueProcessLab logo, and "ArcLight Strategies" are trademarks of ArcLight Strategies, LLC. You may not use our trademarks without our prior written consent.

9. Confidentiality

Both parties acknowledge that in the course of using the Service, each may have access to confidential information belonging to the other. You agree to keep confidential any non-public information about TrueProcessLab's systems, pricing, or operations that you become aware of through use of the Service. We agree to keep confidential Your Content and your process documentation in accordance with our Privacy Policy.

10. Data Security

We implement commercially reasonable technical and organizational measures to protect your data against unauthorized access, alteration, disclosure, or destruction. However, no method of transmission over the internet or electronic storage is 100% secure. We cannot guarantee absolute security and are not liable for unauthorized access beyond our reasonable control.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

PROCESS MAPS AND DOCUMENTATION DELIVERED THROUGH THE SERVICE ARE BASED ON INFORMATION YOU PROVIDE AND ARE FOR INFORMATIONAL AND OPERATIONAL PURPOSES ONLY. ARCLIGHT IS NOT RESPONSIBLE FOR BUSINESS DECISIONS MADE BASED ON DOCUMENTED PROCESSES.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARCLIGHT STRATEGIES, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO ARCLIGHT IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless ArcLight Strategies, LLC and its affiliates, officers, directors, employees, and contractors from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, Your Content, or your violation of these Terms.

14. Governing Law and Disputes

These Terms shall be governed by the laws of the State of Arizona, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona.

Before initiating any formal legal proceeding, you agree to first contact us at support@trueprocesslab.com and attempt to resolve the dispute informally for at least 30 days.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email to the address associated with your account and update the "Last updated" date at the top of this page. Your continued use of the Service after the effective date of the changes constitutes acceptance of the revised Terms.

16. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination include violation of these Terms, non-payment of fees, or conduct that we determine to be harmful to other users or to ArcLight.

Upon termination by either party, the following sections survive: Sections 7, 8, 11, 12, 13, 14, and 16.
